Following the announcement of a Rs 170 crore fundraise through the allocation of non-convertible debentures (NCDS), shares of Standard Capital, a micro-cap NBFC stock, increased by more than % in trading on Thursday, May 15. The small-cap NBFC stock with a market valuation of more than Rs 65 crore began Thursday's trading session at Rs 0.40 per share, which was also the day's peak. Standard Capital Markets' stock was 2.56% higher at this point than when it had previously closed at ₹0.39% per share.
The allocation of 17,000 unrated, unlisted, secured NCDS of Series IV at an issue price of Rs 1,00,000/-each each, totalling Rs 170 crore, was examined and approved by the company's board at its meeting on Wednesday, May 14.
"In furtherance to our intimation letter dated April 30th 2025, May 02nd 2025, May 05th 2025, May 06th 2025, May 07th 2025, May 08th 2025 & May 13nd 2025 relating to raising funds by the issue of Non-Convertible Debentures (“NCDs”) on Private Placement basis and in accordance with Regulation 30 of SEBI LODR Regulations, we wish to inform you that the Board of Directors of the Company by circulation held today, i.e. Wednesday, May 14, 2025, has inter-alia, considered and approved the allotment of 17000 unrated, unlisted, secured NCDs of Series IV of face value of Rs. 1,00,000/- each at an issue price of Rs. 1,00,000/- each aggregating to INR 170,00,00,000 (Indian Rupees One Hundred Seventy Crores Only) on Private Placement basis in terms of Private placement cum application letter," the company said in exchnage filing.
"We further inform you that with this allotment, the issuance of NCDS under Series III has been completed," the filing added.
The company announced earlier this week that its board had authorized the issuance of 13,000 Series III NCDs at an issue price of ₹1,00,000, or Rs 130 crore. In July 2024, the NBCF penny stock reached its 52-week high of Rs 1.77, and on May 7, 2025, it reached its 52-week low of ₹0.37.
Companies issue NCDs, which are fixed-income securities, as a way to raise money through a public offering. Since NCDs are a form of debt instrument, they cannot be exchanged for shares or other securities.
BSE data indicates that in December 2023, the NBFC issued two bonus shares for every one share after splitting the face value of its shares in a 10:1 (10 for one) ratio. Following this, the price of the stock dropped below Rs 10.
