PhonePe IPO UpdateSources familiar with the development said PhonePay has received SEBI approval for the IPO, and the company will soon file its updated draft red herring prospectus (UDRHP), which will set the stage for India’s most anticipated fintech IPO.

The IPO will be an offer for sale by existing shareholders.

The company will not raise any additional initial capital in the IPO, sources said.

PhonePe leads the digital payments market in India with more than 45% market share in UPI transactions.

The company processed 9.8 billion transactions in December 2025, according to NPCI.

The company posted revenue of Rs 7,115 crore for FY24-25, up 40 per cent Year-On-Year (YoY).

The company also turned positive in free cash flow with an operating cash flow of Rs 1,202 crore. Its adjusted PAT (excluding ESOP expenses) more than tripled to Rs 630 crore.

PhonePay’s public listing will set a significant benchmark for India’s digital payments sector and could pave the way for other fintech unicorns eyeing the public market.
