Zepto IPO News: The wait for the initial share sale of Quick commerce unicorn Zepto seems to end soon as the company has filed updated draft papers with the markets regulator Sebi. As per the information, the company will raise Rs 8,010 crore through a fresh issue of shares, and it will offer an additional 11.35 lakh equity shares for sale (OFS) by existing shareholders, according to the updated draft red herring prospectus (UDRHP).

According to people familiar with the matter, the overall issue size is estimated at around Rs 11,000 crore, and the share sale is expected to launch in July.

To Become the Third-Listed Company in Space

After successfully listing on the exchange, Zepto will become the third company in the fast-commerce space, joining Eternal and Swiggy in direct competition with their respective fast-commerce arms, Blinkit and Instamart.

Expansion Plan

The draft papers indicate that the company proposes to use the proceeds from the new issue to expand its dark store network in existing and new locations, lease existing dark stores, invest in technology and cloud infrastructure, fund marketing and business promotion activities, pursue inorganic growth opportunities, and pursue general corporate goals.

Zepto, initially incorporated as Kiranakart Technologies Private Limited in December 2020, changed its name to Zepto Private Limited in April 2025 and converted into a public limited company in December.

Papers filed through confidential filing

The company filed preliminary IPO papers in December through a confidential pre-filing route, which allows firms to approach the Securities and Exchange Board of India (SEBI) for initial feedback without publicly disclosing draft documents.

Firms seeking greater flexibility in IPO preparation are increasingly choosing this route.

Founders

The company was founded by Stanford University dropouts Adat Palisa and Kaivalya Vohra. The company rapidly expanded its 10-minute grocery delivery model across major Indian cities.

This public issue comes at a time when India's fast-trade sector is growing rapidly, as customers increasingly embrace ultra-fast delivery.

For FY26, Zepto reported revenue from operations of Rs 22,624 crore and a net receivable value (NRV) of Rs 24,816 crore. The company processed an average of 1.75 million orders per day throughout the year and had 1,139 stores as of March 31, 2026. Its annual transactional user base was approximately 48 million.
