Jana Small Finance Bank Share: The shares of Jana Small Finance Bank tanked over 5 per cent during the intraday trade on Monday amid a massive sell-off in the stock market. The decline in the banking stock came after TVS Motor Company Ltd said that it will acquire a 4.9 per cent stake in the Small Finance Bank Ltd for Rs 193.32 crore.
The banking stock started lower at Rs 484.95 as compared to the last day's closing of Rs 490.85, respectively. The stock fell further to hit a low of Rs 461.70, down over 5 per cent as compared to the last day's closing.
At the time of writing, the stock was trading at Rs 464.50, down Rs 26.35 or 5.37 per cent. Meanwhile, its 52-week high and low values stood at Rs 552.50 and Rs 330, respectively.
TVS To Acquire Stake
The company said in a regulatory filing that the acquisition is part of a deal to acquire a minority stake in John Small Finance Bank Limited. This will be through a combination of issuing primary warrants for TVS Venue and a secondary purchase for equity ownership of up to 9.9% on a fully diluted basis, of which TVS Motor Company will hold 4.9%.
TVS Motor Company said in its meeting on Monday that it has approved a share purchase agreement (SPA) with John Holdings Limited, proposing to acquire 51,60,903 equity shares, representing 4.90% of the paid-up share capital of John Small Finance Bank Limited, by May 18, 2026.

The acquisition cost will be Rs 193.32 crore.
TVS Venue serves as an institutional platform to build, anchor, and scale enterprises focused on the mobility, financial services, real estate, and lifestyle sectors.
It has a presence in India's financial services sector through TVS Credit Services, a large non-banking financial company that provides consumer and retail loans to millions of customers across India.
Regarding the purpose and impact of the acquisition, TVS Motor Company stated that it aims to "provide greater insight into the banking ecosystem and facilitate cross-sectoral collaboration for the long-term success of its objectives, in accordance with applicable laws."
The acquisition, under the SPA, is expected to be completed within three months from May 18th.
"This investment in Jana is aligned with TVS VENU's long-term approach to support high-quality institutions that serve India's growing financial needs and its expanding digital financial eco-system," TVS Motor Company Chairman Sudarshan Venu said.

He said Jana Small Finance Bank has a strong presence in the consumer sector, crucial for India's credit, savings, and investment growth.
Serving over 1.2 million customers, with 822 outlets across 23 states and two UTs, and advances and deposits of over Rs 35,000 crore as of March 31, 2026, Jana Microfinance Bank provides a strong platform to participate in India's credit, savings, and investment growth over the long term, the filing said.
