Tata Sons Should Become Public: RBI

Earlier last week, the Reserve Bank of India (RBI) rejected Tata Sons' application to surrender its main investment company registration, watering down the Tata Group Holding Company's efforts to avoid a compulsory stock market listing.

The RBI decision implies that Tata Sons will be classified as a high-end NBFC, a category subject to enhanced regulatory requirements, including compulsory listing.

Tata Sons, meanwhile, tried to exit the NBFC framework before that deadline. By 2024, it had repaid more than Rs 21,000 crore in debt and applied to surrender registration to operate as an unregulated holding company rather than comply with listing requirements.

The RBI, however, kept the petition pending and continued to include Tata Sons in its list of upper layer NBFCs.

Under the RBI’s revised framework to automatically qualify large NBFCs for higher tiers, the company’s assets are well above the Rs 1 lakh crore threshold, making it increasingly difficult to grant exemptions.
